First Year Associate

A small, rapidly growing law firm that focuses on representing startup and VC-backed technology companies in the Silicon Valley/San Francisco Bay Area is seeking a junior/first-year corporate associate. The ideal candidate will have some general corporate finance background and basic knowledge of early-stage corporate matters.

The Position:

The junior associate will work with startup and technology companies on a wide variety of corporate and licensing matters. The associate’s main responsibilities will involve reviewing and negotiating master services agreements, license agreements, SaaS SLA’s, software distribution and other such related agreements. The associate will also work on start-up corporate matters, such as Delaware incorporation, convertible notes, series seed, Series A, cap tables, ongoing corporate matters, small M&A and such other equity related transactions.

The associate will work with startups, entrepreneurs and investors exclusively. Many of our clients are successful VC-backed companies who have raised multiple rounds of financing from VC firms such as Sequoia, Benchmark and other top tier VC’s.

The associate will work primarily from home, M-F, from 9am-5pm; local candidates only please; base salary + benefits.

Qualifications:

–Outstanding reading, writing, analytical, research, and communication skills;
–Flexibility, willingness, and ability to work on a broad variety of legal issues and quickly learn new subject matter;
–Must exhibit dedication to client service and responsiveness to requests for legal support;
–Detail-oriented and the ability to manage multiple transactions and projects simultaneously;
–Excellent interpersonal skills and must work well in fast-paced, collaborative team environment;
–Excellent business judgment, ability to think strategically and give practical advice.
–Strong academic credentials;
–Must be a licensed member of the California State Bar Association.
